Applicability
These terms and conditions apply to the use of OwndUp and to the agreement covering that service. By creating an account or using the service, you agree to these terms.
The agreement is concluded between us and the organisation the account is created for. Whoever creates the account declares that they are authorised to bind that organisation. Users invited later use the service under their organisation's agreement.
We expressly reject the applicability of any purchasing terms or other terms of the customer. Deviations from these terms apply only if we have confirmed them in writing.
The service
OwndUp offers smart, shareable lists that warn you in time. You create lists with your own columns, set reminders on expiry dates, share lists with roles and hand over ownership. We continuously develop the service and may add, change or remove features.
What OwndUp does and does not promise
OwndUp is a tool that helps you remember. It is not a guarantee that a date will never be missed, and it does not take responsibility for your deadlines off your hands.
We warn you based on the dates you enter and the settings you choose. If a date is wrong, if a column is not marked as a deadline, or if there is no reminder on it, then no warning follows either.
We send reminders by email and show them in the application. Whether an email arrives also depends on the recipient's mail environment, for example a spam filter or a full mailbox. We cannot guarantee delivery. The activity log of a list shows when we warned whom, and whether that succeeded.
Repeat reminders are capped, and automatic escalation to a backup is only part of the Continuity plan.
If you link a SharePoint list or an Excel file, we only read it. We never write back to the source, and you remain responsible for what it contains.
We are not liable for damage from a missed deadline that results from a date that was not entered or entered incorrectly, from settings you chose, or from an email that did not arrive because of the recipient's mail environment.
Account
You are responsible for the information you enter into your account and for keeping your login details secure. You make sure the information you provide is accurate and up to date.
Choices you make yourself
A number of features send data outside the service or give others access. We point them out to you in advance, and it is your choice to use them:
- A reminder goes to all members of the list, unless it is a task assigned to one person. The subject line of the email may contain the name of the row. So share a list only with people who are allowed to see its contents.
- Access to a list applies to the whole list. We have no access per row or per column.
- A calendar subscription works through a unique link without an expiry date. Do not share that link, and renew it if it has ended up somewhere it does not belong. You can do that on your account page.
- If you request a date from someone outside your organisation, that person sees the context of that one row without signing in.
- If you use AI document extraction, the document goes to the subprocessor listed on our subprocessors page. An administrator can switch that feature off for the whole organisation.
- OwndUp is not designed for special categories of personal data, criminal-record data or national identification numbers. Do not put those in your lists.
If you choose otherwise anyway, the damage that follows from it is for your account.
Subscription and cancellation
OwndUp offers three plans: Lite (€19 per month for a single user), Business (€49 per month for a team of up to 25 users) and Continuity (€99 per month for unlimited users, with the full continuity net). Flat amounts, no price per user. You can start with a free trial period. After that the subscription continues until you cancel. Monthly subscriptions can be cancelled monthly; cancellation takes effect at the end of the current billing period. Periods already paid are not refunded pro rata, unless mandatory law provides otherwise.
Switching and ending
You can cancel at any time, with a notice period of at most one month. We do not charge any fee for switching to another provider or to your own environment.
During the term you can export your data yourself at any time, per list and across all your lists at once, in Excel format. That covers your lists, columns, rows and the dates that go with them.
After the agreement ends we keep your data available for another 30 days so you can export it. After that we delete it in line with the data processing agreement. If you need more time for the switch, let us know.
What you cannot take with you: reminder settings and the activity log are part of the service and do not come back in the export. The dates themselves do.
Prices and payment
The current prices are listed on our website. All prices are exclusive of VAT. We may adjust prices; we announce changes in advance and they take effect from the next billing period.
Use
You do not use OwndUp for unlawful purposes or in a way that harms the service or other users. You remain responsible for the content you place in your lists.
Availability and support
We make every effort to keep OwndUp available on working days between 08:00 and 18:00, and aim for the same availability outside those hours. We give no guarantee of uninterrupted availability, and we do not work with credits or penalties tied to an availability percentage.
We carry out planned maintenance outside office hours wherever possible. Maintenance expected to take longer than 30 minutes is announced at least two working days in advance. Emergency maintenance to fix a security issue may be carried out without notice.
You can reach us by email at hello@owndup.com, on working days from 09:00 to 17:00. We respond:
- High: the service is unreachable for all users, or no reminders are going out. First response within 4 working hours.
- Medium: a feature does not work, with a workable detour. First response within 1 working day.
- Low: question, wish or remark. First response within 3 working days.
This is a response time, not a resolution time. We keep you posted until it is fixed. If you notice an outage, report it at the same address. That is the fastest signal for us.
We make a full copy of the database every day. Daily copies are kept for 14 days, weekly copies for 120 days. A restore can therefore lose up to 24 hours of data. Restoring is done manually, and we do not commit to a recovery time.
AI features
Some optional features, such as "Upload PDF with AI", use an AI service provider to read a document and suggest field values. These suggestions are best effort and may be incomplete or incorrect, so you review and confirm them before anything is saved. We are not liable for errors in AI suggestions that you accept without checking. How this data is handled is described in our privacy statement.
Liability
We make every effort to keep the service working properly, but give no guarantee that the service is available uninterrupted, error-free or without loss of data.
Our liability is limited to direct damage. By direct damage we mean only: reasonable costs to establish the cause and extent of the damage, reasonable costs to bring our performance into line with the agreement, and reasonable costs to prevent or limit the damage, insofar as you demonstrate that those costs did limit the damage. All other damage is indirect damage, including in any case lost profit, missed savings, business interruption, reputational damage and third-party claims. We are not liable for indirect damage.
Our total liability, per event and per contract year taken together, is limited to the higher of: the fees you paid in the twelve months preceding the event, or €2,500. For damage arising from an attributable breach of the data processing agreement or of privacy legislation, a separate maximum applies of the higher of twelve months of fees or €10,000. Both maximums apply to these terms and the data processing agreement taken together.
These limitations do not apply in the event of intent or deliberate recklessness on the part of ourselves or our managers, and not to damage from death or personal injury.
Liability only arises after a written notice of default with a reasonable period for repair, unless performance is permanently impossible. You report a shortcoming in writing within 30 days after you discovered it or could reasonably have discovered it. Any claim lapses in any case twelve months after the event on which the claim is based.
We are not liable if we cannot meet our obligations because of force majeure. That includes in any case an outage at our hosting provider, at our email delivery provider or at another supplier we engage, a failure of the internet or power supply, an attack on our systems, and a government measure. If the force majeure lasts longer than 30 days, either party may terminate the agreement without owing damages.

Data and privacy
How we handle your data is set out in our privacy statement. Your data is hosted within the EU, at TransIP in the Netherlands.
If we process personal data on behalf of your organisation, we do so under our standard data processing agreement. It is available to customers on Business and Continuity, and you can request it at hello@owndup.com. We send it ready to sign.
Changes to these terms
We may change these terms. We announce a change at least 30 days in advance, by email to the administrators of your organisation. If you disagree with a change that is disadvantageous to you, you can terminate the agreement as of the date the change takes effect. We refund amounts paid in advance for the period after that on a pro rata basis.
Applicable law
Dutch law applies to these terms and to the use of OwndUp. Disputes are submitted to the competent court in the Netherlands.
